Terms of Use
Last updated: September 22, 2026
These Terms of Use ("Terms") govern your access to and use of azuriacapital.com (the "Site"), operated by Azuria Capital LLC ("Azuria Capital," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Site.
1. Informational purposes only
The Site is provided for general informational purposes. Nothing on it constitutes an offer to sell or a solicitation of an offer to buy any security or investment product, or investment, legal, tax, or accounting advice. Any offer of interests in a fund managed by Azuria Capital will be made only by means of a confidential private offering memorandum and related subscription documents delivered to eligible investors, which govern in the event of any inconsistency with the Site. Please read the Disclaimer carefully.
2. Eligibility and jurisdiction
The Site is not directed to any person in any jurisdiction where its publication or availability would be contrary to local law or regulation, or would subject Azuria Capital or its affiliates to any registration or licensing requirement. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. You must be at least 18 years old to use the Site.
3. Intellectual property
The Site and its contents — including text, research, articles, charts, graphics, photographs, logos, page layout, design, and underlying code — are owned by Azuria Capital or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. The Azuria name, arch mark, and logo are trademarks of Azuria Capital LLC.
You may view the Site and print or download individual pages for your personal, non-commercial reference, provided you keep all copyright and other proprietary notices intact. Any other use — including reproducing, republishing, distributing, licensing, selling, framing, scraping, text- or data-mining, or using Site content to train a machine learning or artificial intelligence system — requires our prior written consent.
4. Prohibited conduct
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to the Site, its servers, or any connected system or database;
- introduce viruses, malware, or other harmful code;
- use any robot, spider, scraper, or other automated means to access or copy the Site, other than search engines complying with our robots.txt file;
- interfere with the operation of the Site or impose an unreasonable load on our infrastructure;
- submit false, misleading, or third-party personal information through any form on the Site; or
- remove, obscure, or alter any copyright, trademark, or other proprietary notice.
5. Third-party content and links
The Site displays and links to third-party material, including media appearances, interviews, and externally hosted video and audio. We provide it for convenience and reference only. We do not control, endorse, or assume responsibility for third-party content or websites, and views expressed by third parties are their own. Third-party names, logos, and marks remain the property of their owners, and their appearance on the Site does not imply any affiliation with or endorsement by them. Following an external link takes you to a site governed by its own terms and privacy policy.
6. Submissions
Information you send through the Site’s forms or by email is handled in accordance with our Privacy Policy. Any unsolicited ideas, feedback, or other material you submit will be treated as non-confidential, and we may use it without obligation to you. Do not submit confidential or sensitive personal information through the Site.
7. Disclaimer of warranties
The Site and its contents are provided “as is” and “as available,” without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that its contents are accurate, complete, or current. Information may be changed or removed without notice.
8. Limitation of liability
To the fullest extent permitted by law, Azuria Capital and its affiliates, and their respective members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Nothing in these Terms limits any liability that cannot be limited under applicable law.
9. Indemnification
You agree to indemnify and hold harmless Azuria Capital and its affiliates, and their respective members, managers, officers, employees, and agents, from any claim, liability, loss, damage, cost, or expense, including reasonable attorneys’ fees, arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.
10. Changes
We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We may also revise these Terms; the revised version takes effect when posted, and the “Last updated” date above will change. Your continued use of the Site after a revision means you accept it.
11. Governing law and venue
These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any such dispute will be brought exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware, and you submit to the personal jurisdiction of those courts and waive any objection to venue there.
12. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and Azuria Capital regarding the Site. You may not assign these Terms; we may assign them to an affiliate or successor.
